Overview
These Terms of Service govern access to DueBid, a SaaS workspace for evidence-first tender risk intelligence. DueBid helps bid teams organize tender documents, map requirements, identify source-backed risk signals, and receive digital report artifacts.
DueBid is decision-support software. It does not provide legal advice, procurement representation, bid-writing services, consulting services, professional services, or a guarantee that a bid will pass evaluation or win an award.
product boundary
Product boundary
Products purchased through hosted checkout are digital products: SaaS access, workspace subscription features, report-credit allocations, and downloadable report artifacts generated and delivered through the DueBid platform.
DueBid does not sell physical goods, shipping, resale marketplaces, donations, pay-to-play opportunities, regulated services, third-party professional services, or custom consulting through hosted checkout. Any enterprise implementation, procurement advisory, legal review, or other professional service must be handled outside the standard Lemon Squeezy checkout flow under separate written terms.
accounts
Accounts and authority
You must be at least 18 years old and authorized to bind the company, workspace, or organization you represent. You are responsible for accurate account, billing, and workspace information.
You are responsible for activity under your account, for assigning workspace roles appropriately, and for promptly revoking access when a user no longer needs access.
customer content
Customer content
Customer content includes tender notices, RFPs, addenda, draft agreements, proposal material, schedules, evidence files, comments, decisions, and other material submitted to DueBid.
You retain ownership of customer content. You grant DueBid the limited rights needed to host, secure, process, analyze, review, display, and deliver the requested workspace features and digital report artifacts.
You must have the right to upload and process customer content in DueBid. Do not upload material that violates law, confidentiality duties, intellectual-property rights, sanctions rules, procurement rules, or the Acceptable Use Policy.
ai and review
AI assistance and human review
DueBid may use automated extraction, classification, model-assisted analysis, and reviewer workflows to prepare findings. Material High and Critical findings are designed to be reviewed before customer delivery.
DueBid findings are not a substitute for qualified counsel, commercial approval, procurement advice, or your own final submission checks. You remain responsible for legal interpretation, pricing, commercial acceptance, and submission decisions.
payments
Payments, tax, and hosted checkout
Paid checkout is provided through Lemon Squeezy or its supported payment-provider infrastructure. When Lemon Squeezy is shown at checkout, Lemon Squeezy acts as merchant of record or reseller for the transaction and is responsible for supported payment processing, tax calculation and collection, receipts, refunds, disputes, and chargeback handling as applicable to that checkout.
DueBid does not collect or store full payment card numbers. DueBid receives limited billing, order, subscription, customer, product, payment-status, tax, currency, and invoice metadata needed to provision access, reconcile entitlements, and support the account.
Prices, plan terms, and billing intervals are shown before purchase. DueBid does not accept browser-submitted prices, quantities, or provider fields; checkout and plan eligibility are controlled by the server.
subscriptions
Subscriptions and cancellation
Subscription plans renew automatically for the billing interval shown at checkout unless canceled before the renewal date. By starting a subscription, you authorize recurring charges through the hosted checkout provider.
You can manage eligible subscriptions through the billing portal when available in your workspace. Cancellation stops future renewal charges but does not automatically refund a current or past billing period unless the Refund Policy or applicable law requires it.
digital delivery
Digital delivery
DueBid delivers products digitally through the application. Delivery may include workspace access, report credits, status views, digital reports, matrices, evidence appendices, and downloadable artifacts.
No physical shipment is provided. Access or delivery can be withheld, delayed, suspended, or revoked when payment is not verified, a checkout is disputed or refunded, workspace security gates fail, uploaded material is unsafe, or use violates these terms.

Refunds and disputes
Refunds, cancellation effects, duplicate charges, failed delivery, and chargeback handling are governed by the Refund Policy. Contact DueBid support before starting a payment dispute so access, fulfillment, and billing records can be checked.
Lemon Squeezy and payment partners may issue refunds or handle chargebacks in accordance with their own rules, risk controls, and merchant-of-record responsibilities.
acceptable use
Acceptable use
You must comply with the Acceptable Use Policy, payment-provider restrictions, sanctions rules, export controls, procurement rules, and all laws applicable to your use of DueBid.
DueBid may suspend or refuse access for illegal, unsafe, infringing, deceptive, regulated, processor-prohibited, or high-risk activity, including activity that could jeopardize DueBid's ability to use hosted checkout.
confidentiality
Confidentiality and security
DueBid uses administrative, technical, and organizational safeguards designed for confidential tender material. You are responsible for limiting uploaded material to what is needed and for using appropriate confidentiality modes.
Security controls cannot eliminate all risk. Use the vulnerability-disclosure page and approved launch contact once configured if you suspect unauthorized access, a compromised account, or unsafe uploaded material.
intellectual property
Intellectual property
DueBid and its licensors own the platform, software, interfaces, workflows, templates, methods, analytics, and documentation. These terms do not transfer ownership of DueBid technology.
You may use delivered report artifacts internally for your bid, tender, compliance, and decision workflows, subject to payment, workspace access, confidentiality obligations, and these terms.
third parties
Third-party services
DueBid may rely on third-party providers for hosting, storage, security scanning, analytics, communications, AI/model processing, checkout, tax, billing, subscriptions, and customer support.
Third-party services may have their own terms and privacy practices. DueBid is not responsible for third-party services outside DueBid's control, including hosted checkout pages, banks, card networks, and payment-provider portals.
termination
Suspension and termination
DueBid may suspend or terminate access if payment fails, access is unauthorized, uploaded material is unsafe, the workspace creates legal or security risk, or these terms are violated.
On termination, DueBid may preserve records needed for security, legal compliance, tax, accounting, billing, dispute, audit, and fraud-prevention purposes.

Disclaimers and liability
DueBid is provided on an as-is and as-available basis except where separate written terms state otherwise. DueBid does not warrant that findings will be complete, error-free, accepted by a buyer, or sufficient for legal or procurement compliance.
To the maximum extent permitted by law, DueBid will not be liable for lost profits, lost revenue, lost business opportunity, procurement outcome, bid loss, indirect damages, consequential damages, or decisions made from report artifacts.
governing terms
Changes and contact
DueBid may update these terms as the product, payment-provider requirements, or applicable law changes. Updated terms apply when posted unless a separate written agreement controls.
